Terms of Use

These Terms of Use (the “Terms”) govern your use of catsroundtable.com and its subdomains (the “Site”), the weekend emails and the contact form (together, the “Service”), operated by Red Apple Media, Inc. (“Red Apple Media”, “we”, “us”, “our”), 800 Third Avenue, 2nd Floor, New York, NY 10022, the company that owns 77 WABC. By using the Service you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.

1. What the Service is — and what it is not

The Site publishes the interviews of The Cats Roundtable, a weekly radio program hosted by John Catsimatidis, with pages for each interview and guest, transcripts for some interviews, the show’s emails and a contact form. The program is produced and broadcast by 77 WABC (WABC-AM, New York), our radio station, which holds the broadcast, the live stream on wabcradio.com and the podcast feed. These Terms govern the Site, the emails and the contact form only; the broadcast, the stream and the station’s own sites and apps are governed by the station’s Terms of Service on wabcradio.com.

2. Your licence to use the Service

We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Site and to stream the audio and read the text for your personal, non-commercial use. You may link to any page, quote short passages with attribution and a link to the page, and share a page’s address. You may not download, copy, reproduce, republish, redistribute, broadcast, transmit, sell, rent or create derivative works from the audio, transcripts, text, photographs or other material except as these Terms or the law (such as fair use) allow, or with our written permission.

3. Intellectual property

  • The Site — its text, design, code, graphics, the show’s name and marks, and the selection and arrangement of its content — is owned by us or our licensors and protected by copyright, trademark and other laws.
  • The interview recordings and the podcast feed are 77 WABC’s — owned by us or our licensors — and are embedded here with permission; the audio is served from the station’s host, not from the Site.
  • Transcripts are produced automatically from the recordings and are provided for accessibility and reference; they may contain errors and are labelled as uncorrected until a person has checked them.
  • Guests’ names, titles and likenesses identify the people who appeared on the program; they are not endorsements by the guests of the Site or of anything on it.
  • Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved.

Copyright complaints are handled under the Digital Millennium Copyright Act as described in our Copyright and DMCA notice.

4. Prohibited uses

You agree not to:

  • copy, scrape, crawl, harvest or mirror the Site or its content except as robots.txt permits for indexing, or use any automated means to collect email addresses or personal information;
  • rip, download, re-host or re-broadcast the audio, or circumvent the player or any measure that controls access to content;
  • interfere with the Site’s operation or security — probe, overload, inject code, disable features, or attempt to gain access to systems, data or accounts that are not yours;
  • submit false, misleading, defamatory, infringing, threatening, obscene or unlawful material through the contact form, impersonate any person, or use the form to send advertising or spam;
  • sign anyone else up for the weekend emails, or use the Service in any way that violates applicable law or these Terms.

We may suspend or block access to the Service, without notice, for any conduct that we reasonably believe violates these Terms or harms the Service or others.

5. The emails

The show’s emails — two a week, Saturday’s lineup and Sunday’s interviews — are free. A sign-up on this Site is added only after you confirm it from your inbox; subscribers from the show’s earlier list were carried over with the consent they gave there. Every issue carries an unsubscribe link that takes effect at once. We may change the day, frequency or content of the emails, or stop sending them, at any time. Our handling of your address is described in the Privacy Policy.

6. What you send us

When you submit a message through the contact form you give us a non-exclusive, royalty-free licence to use it for the purpose you sent it — to reply, to consider a booking or press request, to correct an error, to improve the Site — and you confirm that it is yours to send and does not violate anyone’s rights. Do not send confidential information; we cannot promise to treat it as such. Ideas and suggestions you send us are not subject to any duty of confidentiality or compensation.

The Site does not host comments, reviews, forums or other content posted by users. If we add such a feature, we will act as an interactive computer service under 47 U.S.C. § 230 with respect to material provided by others: we will not be the publisher or speaker of it, we may but need not moderate or remove it, and these Terms will be updated to say how.

The Site links to and embeds material from third parties — 77 WABC and the live stream, Spreaker and the podcast directories, booksellers, guests’ own pages and social accounts, and SoundCloud or Megaphone players on some archive interviews. We do not control those services, do not endorse their content, and are not responsible for them, their availability, their terms or their privacy practices. Your dealings with them are between you and them.

8. No warranty

The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation, to the fullest extent the law allows. The views expressed by guests and by the host are their own and are not statements of Red Apple Media, 77 WABC or the Site. Nothing on the Site is legal, medical, financial, investment or other professional advice, and nothing on it should be relied on as such; interviews report what a guest said on a given Sunday, and facts, offices and titles may have changed since. Transcripts are automated and may be wrong. We may change, suspend or discontinue any part of the Service at any time.

9. Limitation of liability

To the fullest extent the law allows, we and our affiliates, owners, officers, employees, contractors, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, data, goodwill or use, arising out of or in connection with the Service or these Terms, whether in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility. Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow some of these limitations; in those places they apply to the fullest extent permitted.

10. Indemnity

You agree to defend, indemnify and hold harmless us and the people and companies named in section 9 from any claim, loss, liability, damage, cost or expense (including reasonable attorneys’ fees) arising out of your use of the Service in violation of these Terms, your violation of any law or of anyone’s rights, or any material you submit.

11. Governing law and venue

These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of New York and the federal laws of the United States, without regard to conflict-of-laws rules. Subject to section 12, you and we agree to the exclusive jurisdiction of the state and federal courts sitting in New York County, New York, and waive any objection to venue there.

12. Dispute resolution — arbitration and class waiver

Please read this section carefully: it affects your rights.

  • Informal resolution first. Before starting any proceeding, you agree to send us a written description of the dispute through the contact form and to try in good faith to resolve it with us for 60 days.
  • Binding arbitration. If we cannot resolve it, any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, in New York County, New York, or by video or telephone at your request. The Federal Arbitration Act governs this section. The arbitrator may award the same relief a court could, to you individually. We will pay the filing and arbitrator fees for claims under US $10,000 unless the arbitrator finds the claim frivolous.
  • Small claims. Either of us may instead bring an individual claim in small-claims court in New York County or in the county where you live, if it qualifies.
  • Class and representative waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — will proceed in court under section 11.
  • Opt-out. You may reject this section 12 by telling us so through the contact form within 30 days of first using the Service (or within 30 days of the date above, if later); the rest of these Terms will continue to apply.
  • Exceptions. Either of us may seek injunctive or other equitable relief in court to protect intellectual-property rights or to stop unauthorised access to the Service.

13. Changes to these Terms

We may revise these Terms from time to time. The “Last updated” date and version at the top will change, and material changes will be noted in the weekend emails or on the Site before they take effect. Your continued use of the Service after a change means you accept the revised Terms.

14. General

  • If any part of these Terms is held invalid or unenforceable, that part will be enforced to the extent permitted and the rest will remain in effect.
  • Our failure to enforce any part of these Terms is not a waiver of our right to do so later.
  • You may not assign these Terms; we may assign them to a successor to the Site or the show.
  • These Terms, the Privacy Policy, the Cookie Policy and the Copyright and DMCA notice are the entire agreement between you and us about the Service and supersede any earlier terms.
  • Section headings are for convenience only. “Including” means “including without limitation”.

Box 1777, New York, NY 10163 (the address in the first paragraph is the company’s; the P.O. Box is where letters to the show go). Notices from us to you will be sent to the email address you gave us or posted on the Site.
